The agreement
By using rngautomations.com, or by using software that RNG Automations LLC (“RNG”) built or runs for your business (the “Software”), you agree to these terms. If you are accepting them for a business, you confirm you are allowed to. If you do not agree, do not use the site or the Software.
Your license to the Software
For the length of an engagement, RNG grants the client a non-exclusive, non-transferable license to use the Software for the client’s own business. RNG keeps ownership of the Software and everything in it. The client keeps ownership of its own data and of the records the Software produces from it: the invoices, the entries, the reports. When the engagement ends, the license ends and the client keeps its records.
The client agrees not to:
- resell, sublicense, or provide the Software to anyone outside the client’s business;
- copy, modify, or reverse-engineer it, except where the law allows regardless of this term;
- use it to reach any system or company file the client is not authorized to access;
- use it for anything unlawful.
Connecting QuickBooks Online and other systems
Some Software connects to systems the client already uses, such as QuickBooks Online. The client makes that connection through the provider’s own sign-in and can revoke it at any time from inside that system. The Software accesses only the client’s own company file and only the records the agreed work needs. Use of QuickBooks Online itself is governed by Intuit’s terms, not these. RNG is an independent company and is not affiliated with, or endorsed by, Intuit.
A person always checks
The Software drafts. It reads documents, fills in fields, and prepares records, and it flags anything it is not sure about instead of guessing. It does not send an invoice, a message, or a payment on its own unless the client has agreed to that in writing for a specific step. The client is responsible for reviewing what the Software prepares before it is sent to a customer or relied on in the client’s books, and for acting on anything the Software flags.
Accuracy and warranties
RNG measures how accurately the Software reads documents and shares that measurement with the client, and a signed agreement may set a specific accuracy threshold that RNG has to meet. Beyond what a signed agreement promises, the Software and the website are provided as they are. RNG does not promise that every output will be error-free or that the Software will suit a purpose that was not agreed. RNG does not provide accounting, tax, or legal advice, and the Software does not touch payroll or payroll taxes.
Limits on liability
To the extent the law allows, RNG is not liable for indirect, incidental, or consequential losses, such as lost profit or lost business, arising from the website or the Software. RNG’s total liability for any claim connected to the Software is limited to the fees the client paid RNG in the twelve months before the claim arose. Nothing here limits liability that cannot be limited by law.
Fees and term
Fees, milestones, and the length of an engagement are set in the signed proposal or agreement for that engagement. Either side can end an engagement as that agreement provides. When it ends, access to the Software ends, and RNG deletes the client’s documents and data as described in the privacy policy.
The website
The text, design, mark, and demos on rngautomations.com belong to RNG. The demo on the home page is an illustration of how an agent behaves, not a live service, and its live mode is rate-limited so it can be tried without being abused. Do not use automated tools to load the site or the demo at volume.
Privacy
How RNG handles data, on the website and in client work, is described in the privacy policy, which is part of these terms.
Governing law
These terms are governed by the laws of the State of Illinois, without regard to its conflict-of-law rules. Any dispute that cannot be settled by talking is brought in the state or federal courts located in Illinois, and both sides agree to that.
Changes
When these terms change, the date at the top changes with it. Clients are told about material changes by email before they take effect, and continuing to use the Software after that is acceptance.
